1. Acceptance of Terms

By accessing or using the services provided by Parvus ("we," "us," "our"), you ("Client," "you," "your") agree to be bound by these Terms and Conditions. If you do not agree to these terms, you may not use our services.

These Terms constitute a legally binding agreement between you and Parvus regarding your use of our consulting services and website.

2. Definitions

  • "Services" means the consulting services provided by Parvus, including stakeholder alignment workshops, ESG advisory, and chief of staff advisory services.
  • "Agreement" means these Terms and Conditions together with any engagement letter or statement of work.
  • "Deliverables" means the work products, reports, frameworks, and recommendations produced during an engagement.
  • "Confidential Information" means any non-public information disclosed by either party.
  • "Engagement" means a specific consulting project under these Terms.

3. Service Description

Parvus provides strategic business consulting services focused on three core areas:

  • Stakeholder Alignment Workshops
  • ESG and Sustainability Advisory
  • Chief of Staff Advisory Services

Each engagement is governed by a separate statement of work that defines the specific scope, deliverables, timeline, and fees. The statement of work is incorporated into and made part of this Agreement.

Services are provided on a professional basis and represent our best efforts based on information available at the time. We do not guarantee specific outcomes or results.

4. Client Responsibilities

To enable us to provide effective services, you agree to:

  • Provide accurate and complete information necessary for the engagement
  • Make appropriate personnel available for meetings and workshops
  • Provide timely feedback and approvals at designated milestones
  • Maintain confidentiality of proprietary methodologies and materials
  • Use deliverables in accordance with the engagement scope
  • Comply with all applicable laws and regulations

5. Fees and Payment

5.1 Service Fees

Fees for services are specified in the statement of work for each engagement. Unless otherwise stated, fees are fixed-price project fees quoted in Thai Baht (฿).

5.2 Payment Terms

Payment terms are as follows:

  • 50% deposit due upon engagement commencement
  • Remaining 50% due upon delivery of final deliverables
  • Payment due within 15 days of invoice date
  • Late payments subject to 1.5% monthly interest charge

5.3 Expenses

Travel and accommodation expenses for workshops conducted outside Bangkok will be billed separately at cost plus 10% administrative fee, subject to prior approval.

6. Intellectual Property

6.1 Deliverables

Upon full payment, you receive a non-exclusive license to use deliverables created specifically for your engagement for internal business purposes. This license does not permit resale, redistribution, or use in commercial products or services.

6.2 Pre-existing Materials

All methodologies, frameworks, templates, and tools developed by Parvus remain our intellectual property. You may use these materials only as incorporated into deliverables for your engagement.

6.3 Client Materials

You retain all rights to information and materials you provide to us. You grant us a limited license to use these materials solely for purposes of providing services under the engagement.

7. Confidentiality

Both parties agree to maintain strict confidentiality of information disclosed during the engagement. This obligation includes:

  • Not disclosing confidential information to third parties without written consent
  • Using confidential information only for purposes of the engagement
  • Implementing appropriate security measures to protect information
  • Returning or destroying confidential materials upon engagement completion

Confidentiality obligations do not apply to information that is:

  • Already in the public domain
  • Independently developed without use of confidential information
  • Required to be disclosed by law or court order
  • Already known prior to disclosure

8. Limitation of Liability

To the maximum extent permitted by Thai law:

  • Our total liability for any engagement shall not exceed the fees paid for that engagement
  • We are not liable for indirect, consequential, or punitive damages
  • We are not liable for damages resulting from client's use or misuse of deliverables
  • We are not liable for third-party actions or decisions based on our recommendations

This limitation applies regardless of the legal theory on which liability is based.

9. Warranties and Disclaimers

9.1 Our Warranties

We warrant that:

  • Services will be performed in a professional manner consistent with industry standards
  • We have the necessary expertise and resources to provide the services
  • Deliverables will conform to specifications in the statement of work

9.2 Disclaimers

Except as expressly stated above:

  • Services are provided "as is" without warranties of any kind
  • We disclaim all warranties, express or implied, including merchantability and fitness for a particular purpose
  • We do not warrant that recommendations will achieve specific results
  • Implementation of recommendations is at your sole discretion and risk

10. Termination

10.1 Termination for Convenience

Either party may terminate an engagement with 14 days written notice. In case of termination:

  • You remain obligated to pay for all services performed through the termination date
  • You receive deliverables completed as of termination date
  • Deposit amounts are non-refundable

10.2 Termination for Cause

Either party may terminate immediately for material breach if the breach is not cured within 7 days of written notice.

10.3 Effect of Termination

Upon termination, confidentiality and intellectual property provisions survive. All unpaid fees become immediately due.

11. Independent Contractor

Parvus is an independent contractor, not an employee, agent, or partner of Client. Nothing in this Agreement creates an employment, agency, or partnership relationship.

12. Governing Law and Dispute Resolution

12.1 Governing Law

This Agreement is governed by the laws of Thailand, without regard to conflict of law principles.

12.2 Dispute Resolution

In the event of any dispute:

  • Parties agree to first attempt resolution through good faith negotiation
  • If negotiation fails, disputes shall be resolved through mediation in Bangkok
  • If mediation fails, disputes shall be submitted to arbitration under Thai Arbitration Institute rules
  • Arbitration shall be conducted in English in Bangkok, Thailand

12.3 Jurisdiction

The courts of Bangkok, Thailand shall have exclusive jurisdiction over any matters not subject to arbitration.

13. General Provisions

13.1 Entire Agreement

This Agreement, together with any statement of work, constitutes the entire agreement between the parties and supersedes all prior understandings.

13.2 Amendments

Amendments must be in writing and signed by both parties. Changes to engagement scope require a written change order.

13.3 Assignment

Neither party may assign this Agreement without the other's written consent, except in case of merger or acquisition.

13.4 Severability

If any provision is found invalid, the remaining provisions continue in full force and effect.

13.5 Waiver

Failure to enforce any provision does not constitute a waiver of that provision or any other provision.

13.6 Force Majeure

Neither party is liable for delays or failures caused by events beyond reasonable control, including natural disasters, pandemics, government actions, or labor disputes.
